Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "your") and LINKUPAPI, operating under the brand name DataForB2B ("DataForB2B", "we", "our", or "us") governing your use of the Service and your relationship with us.

Important Notice

Please note that these Terms include important provisions regarding data privacy (Section 6) and limitations of liability (Section 9). By using our Service, you accept these Terms in their entirety.

1. Definitions

"API" means the DataForB2B application programming interface that provides programmatic access to our B2B data services.

"Authorized Users" means your employees or contractors who have been expressly authorized by you to use the Services in accordance with these Terms.

"Business Contact Information" means information about natural persons in a professional context, including names, job titles, employers, email addresses, phone numbers, and LinkedIn profiles.

"Customer Data" means all data, information, and content that you provide to DataForB2B in connection with your use of the Services.

"Documentation" means any technical documentation, API guides, and usage instructions provided by DataForB2B at dataforb2b.ai or through the Platform.

"Personal Data" has the meaning given under applicable data protection laws, including GDPR and CCPA.

"Platform" means the DataForB2B software, API, dashboard, and related technology provided to you.

"Services" means the B2B data enrichment, company information, and contact discovery services provided by DataForB2B through the Platform.

2. Acceptance of Terms

You accept these Terms by:

  • Accessing or using the Service
  • Clicking to accept these Terms during account creation
  • Executing an Order Form that references these Terms

If you do not agree to these Terms, you must not access or use the Service.

3. License Grant and Restrictions

3.1 License to You

Subject to your compliance with these Terms, DataForB2B grants you a non-exclusive, non-transferable, revocable license to:

  • Access and use the Platform and Services for your internal business purposes
  • Use Business Contact Information for B2B sales, marketing, and business development activities
  • Integrate the API with your internal systems and applications

3.2 Restrictions

You must not:

  • Resell, redistribute, or provide access to the Services to third parties
  • Use the Services to create a competing product or service
  • Scrape, extract, or systematically download data from the Platform beyond API usage limits
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Services for consumer marketing, credit decisions, or any FCRA-regulated purpose
  • Circumvent usage limits, rate limits, or other technical restrictions
  • Share API keys or account credentials with unauthorized parties
  • Use the Services in violation of applicable laws including GDPR, CCPA, CAN-SPAM, or TCPA

4. Account and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide accurate registration information
  • Maintain the security of your API keys and passwords
  • Notify us immediately of any unauthorized access
  • Ensure that only Authorized Users access the Services
  • Revoke access for terminated employees within 24 hours

5. Fees and Payment

5.1 Subscription Fees

Fees are specified in your Order Form or subscription plan. All fees are non-refundable except as required by law.

5.2 Payment Terms

Fees are payable in advance. Payment is due within 30 days of the invoice date unless otherwise specified.

5.3 Credits and Usage

Credits purchased or included in your plan expire at the end of your billing period. Unused credits do not roll over unless explicitly stated in your plan.

5.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for all sales, use, and other taxes except those based on DataForB2B's net income.

5.5 Late Payment

Late payments will accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Data Privacy and Protection

6.1 Data Processing Agreement

Our Data Processing Agreement (DPA) available at dataforb2b.ai/dpa governs our processing of Personal Data and is incorporated into these Terms.

6.2 Your Responsibilities

You represent and warrant that:

  • You have obtained all necessary consents and legal bases for processing Personal Data
  • You will comply with all applicable data protection laws in your use of the Services
  • You will provide required privacy notices to individuals whose data you process
  • You will honor opt-out requests and unsubscribe requests promptly

6.3 Data Accuracy

While we strive to provide accurate data, we do not guarantee the accuracy, completeness, or currency of Business Contact Information. You are responsible for verifying data before use.

7. API Usage

7.1 API Access

API access is subject to rate limits and usage quotas specified in your plan. We may throttle or block excessive usage.

7.2 API Keys

API keys are confidential and must not be shared publicly or with unauthorized parties. You are responsible for all usage of your API keys.

7.3 Changes to API

We may modify or discontinue API endpoints with reasonable notice. We will maintain backward compatibility for major versions for at least 12 months.

8. Term and Termination

8.1 Term

These Terms begin when you first accept them and continue until terminated by either party.

8.2 Termination for Cause

Either party may terminate these Terms if the other party materially breaches and fails to cure within 30 days of written notice.

8.3 Termination for Convenience

You may terminate at any time by discontinuing use and closing your account. We may terminate with 30 days' notice for paid plans.

8.4 Effect of Termination

Upon termination:

  • Your access to the Services will cease immediately
  • You must cease all use of the Platform and any data obtained from it
  • Outstanding fees become immediately due
  • Provisions intended to survive (including payment obligations, confidentiality, and limitations of liability) will continue

9. Warranties and Disclaimers

9.1 Service Availability

We will use commercially reasonable efforts to make the Services available 24/7, excluding scheduled maintenance and force majeure events.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT DATA WILL BE ACCURATE, COMPLETE, OR CURRENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAFORB2B SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DATAFORB2B IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on certain warranties or liabilities. In such jurisdictions, these limitations apply only to the extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless DataForB2B from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights
  • Your Customer Data

12. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care.

Confidential information does not include information that is publicly available, independently developed, or lawfully received from third parties.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by French law, without regard to conflict of law provisions.

13.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.

13.3 Informal Resolution

Before initiating any legal proceeding, the parties agree to attempt to resolve disputes through good faith negotiation.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any Order Form and the DPA, constitute the entire agreement between you and DataForB2B regarding the Services.

14.2 Modifications

We may modify these Terms by posting updated versions on our website or by providing notice to you. Continued use of the Services after such modifications constitutes acceptance.

14.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

14.4 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.5 No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.6 Force Majeure

Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.

14.7 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use the Services in any country subject to trade sanctions.
